1.2 Buyer

The Buyer is the natural or legal person who purchases the service. The Buyer may be resident in Türkiye or abroad. The Buyer's full name/trade name, address, email and phone details are the details entered by the Buyer when placing the order and recorded in the order record.

2. Subject of the Agreement

The subject of this agreement is to determine the rights and obligations of the parties, in accordance with Law No. 6502 on Consumer Protection (Tüketicinin Korunması Hakkında Kanun) and the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği), with respect to the provision of the digital service ordered electronically by the Buyer through demiraysoft.com, as defined in Article 3, whose features and sales price are stated on the order page and in the Pre-Information Form.

3. Description of the Service

  1. The Seller provides the software products offered on demiraysoft.com as a web-based software service (SaaS). The service consists of the Buyer accessing the relevant product through a web browser with their own user account, and using the features of the product stated on the order page, for the duration of the purchased plan and subscription period.
  2. The service is hosted and operated on servers under the Seller's control. No copy of the software, installation file or physical product is delivered to the Buyer; an up-to-date web browser and an internet connection are sufficient to use the service.
  3. Once the payment is approved by the payment institution, the Buyer's account is activated immediately and automatically, or the purchased plan/period is assigned to the Buyer's existing account. Performance begins at that moment and continues without interruption until the end of the subscription period.
  4. The service includes keeping the service operational, security and maintenance updates, and technical support by email. Custom development, integration or consultancy services requested by the Buyer are determined separately by written quotation and shown as a separate item on the order page.
  5. The name of the purchased plan, the features it includes, user and quota limits, the subscription period (monthly, annual or one-off) and the price are clearly shown on the order page, in the Pre-Information Form and in the order confirmation email.

4. Price, Currency, Payment and Invoice

  • Currency: Prices are stated in the currency shown on the order page (Turkish Lira – TRY or US Dollar – USD) and are charged in the same currency. The Buyer agrees to pay the amount in the currency shown at the time of the order. Any exchange rate, conversion fee or foreign transaction fee applied by the Buyer's card-issuing bank is beyond the Seller's control and is borne by the Buyer.
  • Taxes: TRY prices include VAT. For USD prices, the price shown to Buyers resident in Türkiye includes VAT. On invoices issued to Buyers who are resident abroad and benefit from the service abroad, no VAT is charged where the conditions of the export of services exemption under VAT Law No. 3065 are met; where the conditions are not met, the price shown is deemed to include VAT. On invoices issued in foreign currency, the Turkish Lira equivalent is also shown, as required by Turkish tax legislation, at the Central Bank of the Republic of Türkiye foreign exchange buying rate on the invoice date.
  • Payment method: Online payment by credit card or debit card. Both domestic and international cards are accepted.
  • Payment infrastructure: Payments are collected through the infrastructure of PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş., a payment institution licensed by the BDDK (Banking Regulation and Supervision Agency of Türkiye), with 3D Secure. Card details are not seen or stored by the Seller.
  • Centralised collection: Payments for our various products may, for operational reasons, be collected through the demiraysoft.com domain. In that case, too, the service provider and the party issuing the invoice is DemiraySoft.
  • Order confirmation: Once the payment is approved, an order confirmation email containing the order number, the purchased service and plan, the amount, the currency and the accepted agreement version is sent to the Buyer immediately.
  • Invoice: An e-Archive Invoice (e-Arşiv Fatura) is issued for the sale and delivered electronically to the email address provided by the Buyer when placing the order. For Buyers resident abroad, the invoice is issued with the name/trade name, address and, if any, tax number provided by the Buyer.
  • Delivery method and cost: As the service is provided electronically, there is no physical delivery and no shipping cost.

5. Formation of the Agreement and Acceptance Record

  1. At the payment step, the Buyer reads this Distance Sales Agreement and the Pre-Information Form and accepts them by ticking the relevant checkboxes. It is not possible to proceed to payment without giving these acceptances.
  2. The agreement is deemed concluded once the acceptance giving rise to the payment obligation is given. By this acceptance, the Buyer expressly consents to the performance of the service defined in Article 3 beginning immediately.
  3. For each acceptance, the Seller electronically records the date and time of acceptance, the Buyer's IP address, the version of the agreement and form accepted and the order number. This record is kept together with the order and payment records for 10 years as required by financial and commercial legislation, and is used as evidence in the event of a dispute.
  4. The accepted agreement version is stated in the order confirmation email. The Buyer may request a copy of the agreement at any time from [email protected]. Amendments to the agreement apply only to orders placed after the amendment; existing orders remain subject to the version under which they were accepted.

6. Subscription, Automatic Renewal and Cancellation

  • Unless cancelled by the Buyer, subscription services renew automatically at the end of the selected period (monthly or annual) for the same duration and at the then-current price.
  • Renewal charges are made only if the Buyer gives explicit consent to automatic renewal and to the storage of their card details at the payment step. Card details are stored securely (tokenised) on the PayTR infrastructure, not by the Seller.
  • Before each renewal charge, the Seller sends a notification email stating the renewal date, amount and currency to the Buyer's registered email address.
  • The Buyer may cancel the subscription at any time, without giving a reason and without paying any penalty, through the product dashboard or by writing to [email protected]. Cancellation stops the renewal for the next period; access continues until the end of the period and the fee for the current period is not refunded.
  • If the renewal fee is not authorised by the card, the service may be suspended; the Buyer is notified by email.
  • There is no automatic renewal for one-off plans and credit/top-up purchases.

7. General Provisions

  1. The Buyer acknowledges that, before placing the order, they have read and been informed of the preliminary information regarding the essential features of the service subject to the agreement, the sales price, currency, payment method and performance, and that they have given the necessary confirmation electronically.
  2. The service subject to the agreement is performed immediately upon approval of the payment in accordance with Article 3. If the account cannot be activated immediately for a technical reason, performance takes place as soon as possible and in any case within the statutory period of 30 days.
  3. The Seller accepts and undertakes to perform the service subject to the agreement in full and in accordance with the features stated in the order.
  4. If performance of the service becomes impossible, the Seller notifies the Buyer in writing within 3 days of becoming aware of the situation and refunds all payments collected within 14 days at the latest from the date of notification.
  5. The Buyer is obliged to provide accurate and complete billing and contact details for the service. The Seller is not responsible if invoices or notifications fail to arrive due to incorrect information.
  6. If the Buyer uses the service in breach of this agreement or the Terms of Service, the Seller reserves the right to terminate or suspend the service.
  7. Persons under the age of 18 may not be a party to this agreement.

8. Cases Where There Is No Right of Withdrawal

All services subject to the agreement are digital services and are performed immediately in electronic form upon approval of the payment, by activating the account, assigning the plan or loading credits/top-ups.

Therefore, pursuant to Article 15 of the Distance Contracts Regulation, the Buyer has no right of withdrawal in the following cases:

  • Services performed immediately in electronic form and intangible goods delivered immediately to the Buyer (digital content, subscription access, credit/top-up packages),
  • Services whose performance has begun with the Buyer's approval,
  • Software and development services prepared specifically in line with the Buyer's requests or personal needs.

By accepting this agreement when placing the order, the Buyer accepts, declares and undertakes that they are aware that the service will be performed immediately, that they give express approval for performance to begin immediately and that, for this reason, they have no right of withdrawal.

9. Refunds and the Seller's Voluntary Refund Policy

Although, for the reason above, the Buyer has no statutory right of withdrawal or refund, the Seller, treating customer satisfaction as a priority, assesses refund requests within the framework of a refund policy it has set itself. This policy is an additional option applied at the Seller's own initiative; it does not create a legal right in favour of the Buyer, does not set a precedent and may be changed by the Seller. The conditions and application procedure are set out on the Cancellation and Refund Policy page.

In the following cases, however, a refund is made under Law No. 6502 even though there is no right of withdrawal:

  • The service could not be provided at all,
  • Erroneous or duplicate charges,
  • The service does not conform to the features agreed in the agreement (defective service).

Approved refunds are transferred within 14 days at the latest from the date of notification, in the currency in which the payment was made, to the same card/payment instrument the Buyer used for payment.

10. Remedies in the Event of a Dispute

The Buyer may submit complaints and objections, within the monetary limits announced each year by the Ministry of Trade, to the Consumer Arbitration Committee (Tüketici Hakem Heyeti) or the Consumer Court (Tüketici Mahkemesi) in the place where the service was purchased or where the Buyer resides. For disputes above these limits, and where the Buyer does not qualify as a consumer, the Courts and Enforcement Offices of Kütahya have jurisdiction. The law of the Republic of Türkiye also applies to this agreement where the Buyer is resident abroad.

11. Language of the Agreement and Entry into Force

This agreement has been drawn up in Turkish; where it is translated into other languages for information purposes, the Turkish text prevails.

The Buyer accepts, declares and undertakes that, at the payment step, they have read, understood and electronically accepted all the terms of this agreement and the Pre-Information Form, and that the agreement is concluded by giving the acceptance that gives rise to the payment obligation. The agreement is kept by the Seller together with the acceptance record and the order record, and is sent to the Buyer upon request.
