Terms of Use and Terms of Service

This English version is provided for convenience. In case of any discrepancy, the Turkish version prevails.

These Terms of Use govern your use of the software products developed by DemiraySoft ("we") and offered through demiraysoft.com (e.g. Periyodik Kontrol), the social media account connection and content publishing features these products provide, and payments made through demiraysoft.com. By using our products, you are deemed to have accepted these terms.

Some of our products publish separate terms of use on their own domains. If you use a product through its own domain, those terms take precedence; this document applies to the shared processes carried out through demiraysoft.com.

2. Description of the Service

DemiraySoft products are web-based software services (SaaS) that allow businesses to run their digital operations (periodic inspection and equipment tracking, appointment management, content production, social media management, etc.) from a single platform. The service consists of access to the relevant product through a web browser with a user account for the duration of the purchased plan and subscription period; no copy of the software or physical product is delivered. The account is activated immediately once the payment is approved. Some of these services allow users to publish content through social media accounts (Instagram, Facebook, TikTok, YouTube, LinkedIn) that they connect of their own free will.

3. Account Connection and Authorisation

Connecting your social media account is entirely optional and takes place through the relevant platform's official OAuth authorisation flow.
You may only connect accounts that you own or are authorised to manage.
Every piece of content published through the connected account is created and published on your explicit instruction; the system does not share content automatically without your approval.
You can remove the account connection from your product dashboard at any time.
Use through your connected accounts is also subject to the relevant platform's own terms of use and developer policies (Meta Platform Terms, TikTok Developer Terms, YouTube Terms of Service, LinkedIn API Terms).

4. User Responsibilities

You are responsible for ensuring that the content you upload/publish to platforms (Instagram, Facebook, TikTok, YouTube, LinkedIn, etc.) complies with copyright, the relevant platform's terms of use and applicable legislation.
You are responsible for the security of your account (password, two-step verification, etc.).
You may not use the service to distribute unlawful, deceptive or spam content.
You may not reverse engineer the service, place excessive load on it with automated tools or attempt to circumvent its security measures.
You are responsible for ensuring that the billing and contact details you provide are accurate and up to date.

5. Pricing, Payment and Invoicing

The price and payment period (one-off or subscription) of paid services are clearly stated at the time of purchase. Prices are stated in the currency shown on the order page (TRY or USD) and are charged in the same currency. TRY prices include VAT; USD prices include VAT for buyers resident in Türkiye, while no VAT is charged to buyers resident abroad where the conditions of the export of services exemption are met. Any exchange rates and conversion fees applied by your card-issuing bank are borne by you.
At the payment step, you accept the Pre-Information Form and the Distance Sales Agreement. The date and time of acceptance, your IP address and the version of the text you accepted are stored together with the order record. After payment, an order confirmation email and an e-Archive Invoice (e-Arşiv Fatura) are sent to your email address.
Payments are collected securely through the infrastructure of PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş., a payment institution licensed by the BDDK (Banking Regulation and Supervision Agency of Türkiye), with 3D Secure. Your card details are not seen or stored by DemiraySoft.
Payments for our various products may, for operational reasons, be collected centrally through the demiraysoft.com domain. In that case, the service provider is still DemiraySoft and the invoice is issued by DemiraySoft.
Subscriptions renew automatically for the same period unless you cancel them. Renewal charges are made only if you give explicit consent to automatic renewal and to the storage of your card details at the payment step; your card details are stored securely (tokenised) on the PayTR infrastructure, not at DemiraySoft.
Before each renewal charge, a notification email stating the renewal date, amount and currency is sent to your registered email address. You can stop the renewal at any time before the end of the period from your dashboard or by writing to [email protected].
If payment cannot be collected, access to the service may be suspended.
The entire purchase is also subject to the provisions of the Distance Sales Agreement and the Pre-Information Form.

6. Cancellation and Refunds

Subscription cancellation: You can cancel your subscription at any time without giving a reason. The cancellation takes effect at the end of the current billing period; you keep access to the service until the end of the period and no charge is made for the next period.
Cancellation does not mean a refund: Cancellation only stops the renewal for the next period. The fee paid for the current period is not refunded, as the service remains available throughout that period.
Right of withdrawal: Our products are digital services and are performed immediately upon approval of the payment. Therefore, pursuant to Article 15 of the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği), no statutory right of withdrawal or refund arises after purchase.
Our voluntary refund policy: Although there is no legal obligation, we assess refund requests within the framework of our own refund policy for the sake of customer satisfaction. This is an additional option offered at DemiraySoft's own initiative; it does not create a legal right and does not set a precedent.
Your statutory rights are reserved: Your refund rights under Law No. 6502 (Turkish Consumer Protection Law) remain valid in all cases where the service could not be provided at all, in cases of erroneous/duplicate charges and in cases of defective service.

7. Scope of the Service and Changes

We reserve the right to change, add or remove features in order to improve our services, enhance security or comply with platform (Meta, TikTok, Google, LinkedIn, etc.) policies. If the removal of a feature affects an essential element of a paid service, prior notice will be given.

8. Intellectual Property

The software, design and brand elements of demiraysoft.com and our products belong to DemiraySoft. Ownership of content published by users remains with the users; we only carry out the technical operations necessary to execute your publishing instruction.

9. Protection of Personal Data

Personal data processed while you use the service is processed in accordance with the Privacy Policy, which forms an integral part of these terms. You can request the deletion of your data on the Data Deletion Request page.

10. Limitation of Liability

Our services are provided "as is". DemiraySoft cannot be held liable for outages or policy changes of the social media platforms you connect, or for decisions they take regarding your account (e.g. account suspension). For claims arising from indirect damages, loss of profit and loss of data, our liability is limited to the total amount you paid us for this service in the 12 months preceding the date on which the claim arose. This limitation does not cover liability arising from wilful misconduct or gross negligence.

11. Force Majeure

We cannot be held liable for disruptions caused by reasons beyond our control, such as natural disasters, war, cyber attacks, infrastructure or power/internet outages, and failures of third-party platforms and payment institutions.

12. Termination

If you breach these terms, we reserve the right to suspend or terminate your account and your access to the service. You may also close your account and remove your social media connections at any time.

13. Changes

We may update these terms from time to time. The current version is always published on this page. In the event of material changes, notice will be given before they take effect.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Kütahya have jurisdiction over disputes. Users who qualify as consumers may apply to the Consumer Arbitration Committees (Tüketici Hakem Heyetleri) and Consumer Courts in their place of residence, within the applicable monetary limits.
